1. Acceptance of Terms & Geographic Scope
By accessing or using the OlliPlay platform (“the Service”), you (the “Organization,” “User,” or “Club”) agree to be bound by these Terms. This Service is intended for use within the United States only. Users accessing the Service from outside the U.S. do so at their own risk and are responsible for compliance with local laws.
2. Subscription Tiers, Fees, & Payments
- Fees: Platform fees, transaction fees, and subscription costs are determined by the specific plan selected at the time of signup or as detailed in your User Dashboard.
- Modifications: OlliPlay reserves the right to change pricing, fees, and plan structures with thirty (30) days’ notice.
- Payments: All fees paid to OlliPlay are non-refundable. OlliPlay utilizes third-party payment processors (e.g., Stripe); by using the Service, you agree to be bound by the respective processor’s terms.
3. Payment Exclusivity & Anti-Circumvention
A.k.a., the “Anti-Venmo” Clause.
- Exclusivity: To maintain the integrity of the Institutional Record and automated financial reporting, all Organization-related financial transactions (including registrations, dues, and camps) must be processed through the OlliPlay Service.
- Prohibited Activity: Bypassing the Service to collect payments via third-party peer-to-peer applications (e.g., Venmo, CashApp, Zelle) to avoid platform fees is a material breach of this Agreement.
- Remedy: OlliPlay reserves the right to suspend or terminate accounts found in violation. Organization agrees that OlliPlay may seek recovery of lost transaction fees resulting from such circumvention.
4. Cancellation & Refund Policy
- Click-to-Cancel: In compliance with Wyoming law, users may cancel via the “Subscription Management” tab in the Admin Dashboard. Cancellation must be initiated at least forty-eight (48) hours prior to renewal.
- Access: Access continues until the end of the current paid billing cycle.
- Chargebacks: Unauthorized chargebacks disrupt our ecosystem. OlliPlay reserves the right to suspend account access immediately upon notification of a chargeback and may apply an Administrative Reinstatement Fee as detailed in your Dashboard.
5. Acceptable Use & Conduct (AUP)
- Communication Compliance: You must obtain “prior express written consent” for SMS/VoIP per FCC rules. Content related to Sex, Hate, Alcohol, Firearms, Tobacco, or Cannabis (SHAFT-C) is strictly forbidden.
- SafeSport & Youth Safety: We maintain a zero-tolerance policy for cyberbullying and misconduct. Adult users must not engage in private, one-on-one digital communication with minor athletes; a parent or second authorized adult must be included in all digital threads.
- AI Governance: High-stakes actions (dismissals, large refunds, or medical alerts) must be reviewed by a human and cannot be delegated solely to AI agents.
6. Data Ownership & SafeSport Disclaimer
- Ownership: Data resides with the “Organization Entity,” not the individual user.
- Liability: OlliPlay is a technology provider, not an employer. The Organization is solely responsible for background checks and staff conduct. OlliPlay is not liable for claims of misconduct, harassment, or abuse facilitated through the Service.
7. Limitation of Liability & Arbitration
- Force Majeure: OlliPlay is not liable for damages resulting from “Acts of God” or third-party infrastructure failures (e.g., AWS or carrier outages).
Disputes: Any dispute shall be resolved through binding individual arbitration in Sheridan,Wyoming. Parties waive their right to a jury trial or class-action lawsuits.
